3. Project Process

  • Design

  • Development

  • Revisions

  • Final delivery

Timelines are estimates and may vary depending on project scope and client responsiveness.


4. Fees & Payment

  • A non-refundable deposit (30–50%) is required before work begins

  • Remaining payments are due based on agreed milestones or upon completion

  • Late payments may result in delays, suspension, or termination of services

  • All prices are listed in USD unless otherwise stated


Refund Policy

5. Deposits

All deposits are non-refundable and secure your project slot.


6. Milestone Payments

  • Payments for completed milestones are non-refundable once delivered

  • Partial refunds may be considered only if work has not yet begun


7. Completed Work

Once a project or milestone has been delivered, no refunds will be issued.


8. Cancellations

  • If you cancel the project:

    • Deposit remains non-refundable

    • You must pay for work completed up to cancellation

  • If we cancel the project:

    • A prorated refund may be issued for incomplete work


9. Revisions Instead of Refunds

We provide revisions as outlined in your agreement. Refunds will not be issued for dissatisfaction if work meets the agreed scope.


10. Subscription & Ongoing Services

  • Monthly services (maintenance, hosting, etc.) are non-refundable once the billing period begins

  • You may cancel future billing with proper notice


11. Third-Party Costs

All third-party costs (domains, hosting, plugins, themes) are non-refundable and governed by their respective providers.

12. Client Responsibilities

You agree to:

  • Provide accurate, lawful content

  • Ensure you have rights to all submitted materials

  • Respond promptly to communications

Delays may impact timelines.


13. Intellectual Property

  • Ownership transfers upon full payment

  • We retain the right to showcase work in our portfolio

  • Third-party tools remain under their respective licenses


14. Hosting & Maintenance

Not included unless explicitly stated in writing.


15. Disclaimer of Warranties

All services are provided “as is” without warranties, including uninterrupted or error-free operation.


16. Limitation of Liability

To the fullest extent permitted by law, Qedesi is not liable for:

  • Loss of profits, revenue, or data

  • Business interruption

  • Indirect or consequential damages

Total liability is limited to the amount paid for services.


17. Termination

Either party may terminate services with written notice. The Client must pay for all work completed up to termination.


18. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information.


19. Governing Law

These Terms shall be governed by the laws of the State of Washington, United States, regardless of the Client’s location.

20. Indemnification

You (“Client”) agree to indemnify, defend, and hold harmless Qedesi, its owners, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Any content, materials, or data provided by you

  • Your use of the website or services provided

  • Your violation of these Terms of Service

  • Your violation of any applicable laws or regulations

  • Any infringement of intellectual property or other rights of a third party

This includes, but is not limited to, claims resulting from:

  • Copyright or trademark infringement

  • Defamatory, unlawful, or misleading content

  • Unauthorized use of third-party materials

You agree to fully cooperate in the defense of any such claim and acknowledge that Qedesi reserves the right to assume exclusive defense and control of any matter subject to indemnification at your expense.


21. Dispute Resolution

Disputes shall first be attempted to be resolved informally. If unresolved, disputes will be handled in the appropriate courts of Washington State.


22. Changes to Terms

We may update these Terms at any time. Continued use of our services constitutes acceptance of any updates.
